US Company Formation (LLC)

For a brand selling internationally, a US company is often not a choice but a necessity: Stripe, Shopify Payments and some marketplaces open their doors here. We set up the formation, tax ID, address and banking in one place; our partner CPA signs the returns.

Who this service is for

  • «We can't open a Stripe account.»Some payment providers and marketplaces aren't available to companies registered in many countries. A US company is the shortest and most common way to open that door.
  • «We sell to the US, but it's all over the place.»Payments in one place, returns in another, taxes handled by no one. At the end of the month, nobody can see what's actually left.
  • «We formed the company — we don't know what comes next.»Formation takes a day. The real issue is the calendar of annual filings, franchise tax and reports — a missed date comes back as a penalty.

What's included

01Structure and state decision

LLC or C-Corp, Delaware or Wyoming: a reasoned decision in writing based on your sales model, number of partners and payment setup needs.

02Formation and registered agent

Filing, formation documents, registered agent and legal address — all in the company's name.

03EIN and documents

Tax ID number, operating agreement and the document set the bank will ask for.

04Bank and payment accounts

Preparing and submitting business banking and Stripe applications. Approval is the bank's and Stripe's decision; we make sure the application is prepared correctly.

05Tax and compliance calendar

Federal and state obligations with their dates in one calendar. Every upcoming date is reminded in advance.

06Bookkeeping in order

Regular recording of bank transactions, reconciliation and an income-expense report — so no document has to be hunted down at filing time.

Frequently asked questions

Who forms the company, and who signs the returns?

We handle the formation filing, paperwork, address, bank and payment follow-up. Federal and state returns are prepared and signed by our partner CPA. Mihenk is not an accounting or law firm; the contract states clearly which work is done under whose signature.

What happens to my tax obligations at home?

Forming a US company doesn't automatically remove your tax obligations in your home country. Your residence, where the income arises and the status of any existing company are decisive. We recommend assessing this with a tax advisor in your country of residence before deciding — not based on general comments online. Our partner CPA covers the US side.

Is Stripe approval guaranteed?

No. The application is prepared and submitted correctly; approval is Stripe's own decision. The same goes for bank accounts. If it isn't approved, we read the reason and talk through an alternative route together.

How long does it take?

It depends on the state and on how busy the authorities are at the time. Before applying, we give you the current timeline in writing; we don't make up a number of days.

Take it on its own, or as part of a partnership.

US Company Formation (LLC) is delivered as a standalone project: the scope is clear and the price is shown above. In a full partnership, it runs alongside the other work your brand needs, handled by the same team. We'll talk through which suits you on the first call.
